In France, a tax change aimed at business founders passed the National Assembly a few minutes before midnight on Friday, October 16, 2026, by 25 votes to 23. Twenty three deputies abstained. All of them sat with the Rassemblement National.

What was voted

Article 5 of the 2027 finance bill targets a mechanism French tax advisers call "apport-cession", article 150-0 B ter of the tax code. A founder contributes the shares of a company to a holding he controls. The capital gain is not taxed at that moment: the tax is deferred. Under the rules in force today, if the holding shares are later given away or inherited, that deferred tax can disappear for good.

The government wanted any transfer of those shares, gift or inheritance, to make the deferred tax payable. After a confused debate, deputies adopted a rewrite tabled by the general rapporteur of the budget, Philippe Juvin. Inheritances are now left out. The tax hits certain gifts, notably when the contributed shares were sold within eight years of going into the holding, under reinvestment conditions, and the bill can be paid over ten years. Then a sub-amendment by the Ecologist deputy Eva Sas brought old operations back in: the rule applies to gifts made from October 1, 2026. That date is earlier than the vote itself.

The arithmetic of a Friday night

The official record of vote 8876 lists 71 deputies taking part out of 577, or 12.3 percent of the chamber. Forty eight cast a vote. Absolute majority: 25. Result: 25 for, 23 against, 23 abstentions. Adopted.

For: La France insoumise 10, Socialists 8, Ecologists 7. Against: Ensemble pour la République 8, Les Démocrates 5, Droite Républicaine 4, LIOT 3, UDR 2 and one non attached deputy. Abstained: 23, all RN.

Had those 23 RN deputies voted against, the score would have been 25 to 46 and article 5 would have fallen. Had just two of them voted against, a 25 to 25 tie would have killed it.

What they won't tell you

  • The margin: scrutin 8876, third sitting of October 16, 2026: 25 for, 23 against, 23 abstentions, 71 voters out of 577.
  • The abstainers: every abstention came from the RN group, which has 121 deputies.
  • The date: a sub-amendment applies the new rule to gifts made from October 1, 2026, before the vote took place.
  • Twice in a day: earlier the same Friday, a tax on crypto swaps into stablecoins passed 38 to 37 with 25 RN abstentions (our account of vote 8836).
  • Not final: this is a first reading. The vote on the whole of part one is scheduled for Tuesday, October 20, then the Senate takes over.

Why it matters

The holding structure is how many French owners of small and mid sized companies prepare a handover to their children. Taxing a gift of shares that never turned into cash for the giver means paying the state before the family has sold anything. A ten year payment plan softens the blow. It does not change the principle.

The retroactive start date deserves its own line. A family that signed a gift on October 2, in good faith under the law of the day, now learns that a Friday night vote could reach back to it. Legal certainty is the first thing an investor checks before staying in a country.

The left wrote and backed the measure. That is consistent with what it says. The presidential camp and the classic right voted against and lost by two votes. The party that presents itself as the defender of small business owners chose neutral, for the second time in one sitting day.

Verdict

Seventy one deputies decided a change to how French founders pass on their companies, and 23 of them chose not to decide. Abstention is a vote that never has to be explained on a campaign poster. The Senate can still rewrite article 5. The more interesting question is what the RN will tell business owners in its own constituencies on Monday morning.
